HubSpot : Lead Counsel, Public Company Governance & Corporate Programs

HubSpot is hiring a remote Lead Counsel, Public Company Governance & Corporate Programs based in the United States. This is a senior individual contributor role reporting to the Director of Corporate Legal.

In this role, you will serve as HubSpot's primary governance lawyer, owning the company's governance policy framework, the Nominating, Governance & Sustainability (NG&S) Committee, operational governance across all three Board committees, proxy governance, annual meeting logistics, and governance-focused investor engagement. You will lead the annual governance policy refresh, ensure alignment with evolving NYSE requirements, build AI-first governance workflows and templates, and engage directly with proxy advisors such as ISS and Glass Lewis alongside Investor Relations.
